South Korea company registration: the decisions in order

Registering a company in South Korea follows the authorities' sequence. This order matters when starting a business in South Korea as a foreign investor. The business structure comes first, with the name checked through the Supreme Court Internet Registry Office and trademark conflicts searched at the Korean Intellectual Property Office. The capital decision follows, because it settles whether the company takes the foreign-investment route. On that route the FDI notification goes to a designated foreign-exchange bank or KOTRA, the Korea Trade-Investment Promotion Agency, and the capital reaches a temporary paid-in capital account, both before the Commercial Registry filing. Tax registration, the corporate bank account and foreign-invested-enterprise registration close the sequence.

Yuhan Hoesa, Chusik Hoesa, branch or liaison office

Most foreign investors choose between two subsidiary forms. One is the limited company (Yuhan Hoesa); the other is the Chusik Hoesa, the joint-stock company South Korean banks and partners know best, which suits an investor planning growth or outside funding. The Yuhan Hoesa suits a wholly owned subsidiary that wants simpler governance, though it no longer escapes audit: statutory external audit above the size thresholds has applied to it since FY2020. Either subsidiary can qualify for FDI registration and the D-8 visa. A branch is an extension of the foreign parent, which stays liable for it, yet it can earn revenue; a liaison office cannot, so choosing one for a business that will invoice leads to costly amendments later.

What the incorporation file has to prove

The documents identify the people behind the company. On the foreign-investment route the capital also has to travel from the overseas investor's own account into the temporary paid-in capital account; sent through the wrong channel, it loses FDI recognition. Where the shareholder is itself a company, the file passes through it to the people who represent and own it. Other items in the final filing, such as the bank certificate confirming the capital deposit, cannot exist until the capital has arrived, which is one more reason the order is fixed.

Why the capital figure comes before the costs

The costs move with a decision no list shows: the capital declared. The statutory minimum is not the figure that matters to a foreign investor: registered foreign-invested status under the Foreign Investment Promotion Act, and with it the D-8 investor visa, rests on KRW 100 million per foreign investor holding at least 10% of the voting shares. Registry taxes and fees scale with the capital declared, and Korean banks read it as a measure of credibility, so the capital is settled first and the fees follow.

The first tax step is a registration, not a return

The first tax obligation a new Korean company meets is a registration rather than a return: the business registration certificate is applied for with the National Tax Service (NTS), through the district tax office, within 20 days of business commencement. The corporate rates are also only part of the charge, because a local income tax is levied on top of the national tax, on the same four bands, at 1.0% to 2.5%. And the bands are recent. A reform approved by the National Assembly on 2 December 2025 raised every band by one percentage point for fiscal years beginning on or after 1 January 2026, so a guide written before it understates the rate.

What the company owes after registration

Registration at the Commercial Registry is the midpoint rather than the finish. The steps to open a corporate bank account and complete foreign-invested-enterprise registration are still ahead, and only the second confirms the investment's FDI status. From then on the obligations are the company's own: once it hires, staff are enrolled in the four social insurance schemes, the National Pension Service, National Health Insurance, Employment Insurance and Industrial Accident Compensation Insurance, and annual financial statements are prepared under K-GAAP or K-IFRS. The one thing to check before any of that is whether the planned activity is regulated, because a sector licence has to be in place before trading starts and is best mapped early.
